TOGETHER PRICE – TERMS OF SERVICE

1. Welcome

        1. Together Price operates a platform that facilitates the sharing of certain online services between users by allowing them to set up and join groups to communicate, split the cost of subscribing to the online service and arrange payment, which we make available through our website www.togetherprice.com (the “Together Price Service“).
        2. The Together Price Service is operated by Together Price Limited (“Together Price“, “we“, “our“, or “us“).

2. Important warnings about sharing access to online services

        1. When you offer to share access to an online service, you must check and ensure that you comply with the terms and conditions of that online service, including any restrictions on the number of individuals with which you can share access and your relationship with them (the “Sharing Rules“).
        2. We will ask you to confirm that you have read and comply with the Sharing Rules applicable to the online service you want to share or use before you can create or join a new group. For services that are commonly shared through the Together Price Service, you can also check the relevant rules [here].
        3. You are responsible for ensuring that you comply with the applicable Sharing Rules. We will not be responsible to you for any losses you might suffer if you are blocked from accessing any online service because you have not complied with the Sharing Rules or used the Together Price Service in a way that might breach the Sharing Rules.
        4. We may immediately suspend or terminate your access to the Together Price Service if we suspect that you are sharing access to an online service in breach of that service provider’s terms.
        5. The Together Price Service implements automatic restrictions on sharing common services, such as Netflix and Spotify. We may immediately suspend or terminate your access to the Together Price Service if you attempt to circumvent these restrictions.
        6. We will need to conduct certain checks to verify your identity in order for you to use the payment features of the Together Price Service. We may refuse to provide you with all or the relevant features of the Together Price Service if we are unable to do this.

3. Your relationship with us

        1. This document and any documents referred to within it (collectively, the “Terms of Service“) set out the terms of your relationship with us. It is important that you read and understand the Terms of Service before using the Together Price Service.

          2. issuing of a warning to you;

          3. otherwise breach our Rules of Acceptable Use below.
        6. You can only, however, delete a Sharing Group if there are no other members of that Sharing Group, or if the period for which the Sharing Group was created has expired.

10. Joining a Sharing Group

        1. You can join a Sharing Group by:
          1. accepting an invite from the user that created the Sharing Group (a “Group Admin User“);
          2. searching public Sharing Groups and submitting a request to join a particular Sharing Group to the Group Admin User; or
          3. searching for Sharing Groups created by your contacts on any social media account that you link to the Together Price Service and submitting a request to join a particular Sharing Group to the Group Admin User.
        2. You will also need to confirm your relationship to the Group Admin User in order to join a Sharing Group. You must not misrepresent this relationship or attempt to:
          1. join a Sharing Group that consists of users with whom you are not permitted to share access to the applicable online service in accordance with the applicable Sharing Rules;
          2. circumvent any restrictions on the Together Price Service on the individuals with whom access to an online service may be shared; or
          3. breach or otherwise facilitate any breach of an online service’s Sharing Rules.
        3. We may monitor your activity on the Together Price Service to ensure that you comply with paragraph 10.2. Failure to do so constitutes a serious breach of these Terms of Service, and may result in our taking all or any of the following actions (with or without notice):

11. Wallet

        1. If you are a Group Admin User, any amounts paid to you by other members of your Sharing Group will be stored in a “wallet” which is linked to, and accessible through your Account (your “Together Price Wallet“).
        2. The Together Price Wallet is provided by Lemon Way SAS, a company registered in France with its registered address at 14 rue de la Beaune, 93100 Montreuil-sous-Bois, France (“Lemon Way“). Lemon Way is authorised as an Accredited Payment Institution regulated by ACPR Banque de France, with number (CIB) 16568.
        3. Your use of the Together Price Wallet is regulated by separate terms between you and Lemon Way, which are available at https://www.lemonway.com/es/aviso-legal/ (the “Lemon Way Terms“). By using the Together Price Wallet, you agree to the Lemon Way Terms and acknowledge that any amount transferred to the Together Price Wallet will be an irregular, non-interest-bearing deposit, and that you will not be entitled to claim any form of interest from Lemon Way or Together Price as a result of your use of the Together Price Wallet.

12. Fees and Payment

        1. You do not need to pay us a fee to create an Account or to browse Sharing Groups. However, when you have found and joined a Sharing Group through the Together Price Service, we will charge you an administration fee for your use of the Together Price Service (the “Admin Fee“) each time you make a payment towards the cost of an online service shared through the Together Price Service. If you are a Group Admin User, you will also be charged an administration fee each time you arrange to transfer an amount from your Together Price Wallet to your bank account or other payment method (the “Transfer Fee“).
        2. The Admin Fee will be calculated as set out at https://togetherprice.es/gastos-de-comparticion/based on the amount that each member of the Sharing Group contributes to the Group Admin User in connection with their use of the online service (the “Shared Cost“). The Transfer Fee will be calculated as set out https://togetherprice.es/gastos-de-comparticion/ based on the amount that you, as a Group Admin User, transfer from your Together Price Wallet to your bank account or other payment method.
        3. When you ask to join a Sharing Group, we will ask you to provide us with valid, up-to-date and complete credit or debit card details. By asking to join a Sharing Group, you authorise us to charge such credit or debit card for the relevant Admin Fee and the applicable Together Cost, and hereby confirm that the details you provide are accurate and that you have the right to use the payment method selected.
        4. If we are unable to collect any payment from you, we may suspend your access to the Sharing Group or the Together Price Service until you make pay all amounts due. We may also terminate your right to use the Together Price Service if you consistently fail to make any payments.
        5. You must therefore keep your payment details up to date [using the functionality on the Together Price Service at [***link***]. We will also not be responsible to you if we are unable to credit your payment method with any Shared Costs where you have provided incorrect details or failed to keep them up to date.
        6. Payments on the Together Price Service are processed by Stripe Payments Europe, Ltd (“Stripe“) and are subject to additional terms available at https://stripe.com/it/connect-account/legal (“Stripe Services Agreement“). By making any payments on the Together Price Service, you agree to the terms of the Stripe Services Agreement.

13.Validation Period

        1. In order to protect our users and to ensure that all the Sharing Groups on the Together Price Service are genuine, we will hold any Service Contributions for a period of 25 days (the “Validation Period“) before releasing them to the Group Admin User.
        2. The user may exercise the right to a refund from the Administrative Commission within 14 days from the date of debit, but it will cease if he/she uses the Together Price Service during this 14-day period. Together Price may grant extensions to this period for certain special cases and products and its discretion.
        3. The User understands that by using the Together Price Service before the end of the 14-day withdrawal period, the contract becomes binding and fully signed. Consequently, the User expressly waives his right of withdrawal when using the Together Price Service before the end of the 14-day withdrawal period.
        4. The Administrative Commission is reimbursed by issuing a non-cumulative voucher (the “Reimbursement Voucher”), which can be spent on the Together Price platform and is applicable only to Administrative Commissions. If the amount of the Administrative Fees is higher than the amount of the Reimbursement Voucher, the user must integrate the difference at the time of payment. If the amount of the Administrative Fees is lower than the amount of the Reimbursement Voucher, the user will not be able to accumulate or transfer the difference generated and the Reimbursement Voucher will be considered used for the entire amount.
        5. If you have joined a Sharing Group, you may exercise your right to refund your Service Fee during the relevant Verification Period, using the applicable feature on the Together Price Service. The application and legitimacy of the right to refund the Service Fee remains at Together Price’s discretion, based on the information available.
        6.   The Service Contribution is refunded by crediting the amount to the payment method used during the transaction.

14.Verifying your identity

        1. We may need to verify your identity in order for you to use certain features of the Together Price Service. This is known as “Know Your Customer” or “KYC”. In particular, we may need to do this if the transactions you undertake from your Together Price Wallet exceed certain thresholds.
        2. We may ask you to provide certain information to help us verify your identity. You must ensure that any information you provide is accurate, as we will not be responsible to you if we are unable to verify your identity because of any errors or omissions in the information you have provided to us.
        3. Your identity may be subject to verification including, but not limited to, validation against third party databases or the verification of one of more official government or legal documents that confirm your identity and your place of residence.
        4. Some of the searches which we or a third party may perform, such as a credit check, may leave a soft footprint on your credit history. This will not affect your credit rating.
        5. We may refuse to provide you with some or all of the Together Price Service if we are unable to verify your identity. We may also suspend your Account if you do not provide this information within 7 days after we ask you to do so.

15. Money laundering

        1. We are committed to preventing money laundering and any activity that facilitates money laundering, financing terrorism or any other criminal activity. We may therefore, from time to time:
          1. conduct enhanced or periodic identity checks where we suspect that any unlawful activity may have taken place, or as part of our ongoing risk management procedures;
          2. monitor your use of the Together Price Service to identify any suspicious transactions, including unusual transaction sizes, volumes or patterns; and
          3. report any suspicious activity to local regulators, enforcement bodies and other compliance bodies.
        2. We may refuse to provide you with all or some of the Together Price Service if:
          1. we are unable to complete any diligence checks on you;
          2. we have previously identified you as an individual engaged in suspicious activity;
          3. you are a politically exposed person, or are a family member or known close associate of a politically exposed person;
          4. you are listed on a sanctions list in any of the jurisdictions in which we provide the Together Price Service; or
          5. we otherwise identify you as an individual exposed to a high risk of money laundering or financing terrorism.
        3. We may suspend or end the provision of any part of the Together Price Service to you at any time if we suspect that you are using the Together Price Service in an unlawful manner.

16. Your content

        1. You confirm that any images, text or information that you upload to the Together Price Service, including any public comments that you make about a Sharing Group (collectively, your “User Content“) will meet the Rules of Acceptable Use.
        2. We do not claim ownership of your User Content, and ownership will remain with you and any third party whose content you include in your User Content. Instead, you grant us a worldwide, non-exclusive, royalty-free and perpetual licence to use, copy, reproduce, distribute, adapt, re-format, modify, publish, translate, license, sub-license and otherwise make available the User Content anywhere and in any form for the purposes of providing the Together Price Service (including allowing users that you give access to any User Content to view and use your User Content).
        3. You must ensure that you are able to grant us the above licence for any content owned by a third party that you include in your User Content.
        4. Our right to use your User Content does not in any way affect your privacy rights. Please see our Privacy Policy ([**link**]) which provides information on how we use your personal information.
        5. We have the right to monitor any User Content (including any messages you send to other users) and to reject, refuse or delete any User Content where we think that it breaks any of the Rules of Acceptable Use.

17. Rules of Acceptable Use

        4. We may limit the functionalities of the Together Price Service available to you, suspend your use of the Together Price Service or end your use of the Together Price Service if you have received at least three reviews from other users on the Together Price Service and your average review score is not greater than 3 out of 5.
        5. We may also withdraw the Together Price Service as long as we give you reasonable notice that we plan to do this.
        6. If you or we end your use of the Together Price Service or we withdraw the Together Price Service as described in this section, we may delete your User Content, any other information that you have uploaded to the Together Price Service or any other information we hold about you. 8. Nothing in this clause 18 affects any legal rights you may have under the law of the country in which you are resident.

20. Our liability/responsibility to you

        1. While we do our best to ensure that the features and functionalities of the Together Price Service are of a reasonably satisfactory standard, certain features may rely on networks and connections that are beyond our control. Some of the information provided to you on the Together Price Service may also contain content owned or developed by third parties. As we do not own or produce such third party content, we cannot be responsible for it in any way.
        2. We will also not be responsible to you in respect of the performance of, or content made available on any online service that you access, or in respect of any problems you experience accessing the online service, including as a result of:
          1. anything that you or another user has done (such as failing to pay any subscription fees or breaching the Sharing Rules);
          2. the unavailability of the online service; or
          3. the online service otherwise suspending or ending a Group Admin User’s access for any reason.
        3. In addition, due to the nature of the Internet and technology, the Together Price Service is provided on an “as available” and “as is” basis. This means that we are unable to promise that your use of the Together Price Service will be uninterrupted, without delays, error-free or meet your expectations and we do not give any commitment relating to the performance or availability of the Together Price Service in these Terms of Service and, to the extent we are able to do so, we exclude any commitments that may be implied by law.
        4. In the event of a claim arising out of the provision of the Together Price Service, our responsibility to you will never be more than the Admin Fees you have paid us in the 12 months prior to the claim arising and, in the event that you have not paid us any money, we shall have no responsibility whatsoever to you.
        5. In every case, we will never be responsible for any loss or damage that is not reasonably foreseeable, or that is caused by a failure by you to comply with these Terms of Service.
        6. The above does not affect your rights under the applicable law of the country in which you are resident, including our responsibility to you for any personal injury or death caused by our negligence.

21. Resolving disputes

        1. If you have a dispute with us relating to the Together Price Service, in the first instance please contact us at support@togetherprice.com and attempt to resolve the dispute with us informally.

22. Changes to the Together Price Service

        1. We are constantly updating and improving the Together Price Service to try and find ways to provide you with new and innovative features and services. Improvements and updates are also made to reflect changing technologies, tastes, behaviours and the way people use the Internet and the Together Price Service.
        2. In order to do this, we may need to update, reset, stop offering and/or supporting a particular part of the Together Price Service, or feature relating to the Together Price Service (“changes to the Together Price Service“). These changes to the Together Price Service may affect your past activities on the Together Price Service, certain features that you use, your User Content and any other information you submit to the Together Price Service (“Service Elements“). Any changes to the Together Price Service could involve your Service Elements being deleted or reset.
        3. You agree that a key characteristic of the Together Price Service is that changes to the Together Price Service will take place over time and this is an important basis on which we grant you access to the Together Price Service. Once we have made changes to the Together Price Service, your continued use of the Together Price Service will show that you have accepted any changes to the Together Price Service. You are always free to stop using the Together Price Service.

23. Changes to the documents

        1. We may revise these Terms of Service from time to time but the most current version will always be at [***].
        2. Changes will usually occur because of new features being added to the Together Price Service, changes in the law or where we need to clarify our position on something.
        3. Normally, we will try to give you some warning before the new terms become effective. However, sometimes changes will need to be made immediately and if this happens we will not give you any notice.

24. Documents that apply to our relationship with you

        1. The current version of the Terms of Service contains the only terms and conditions that apply to our relationship with you.
        2. We intend to rely on these Terms of Service as setting out the written terms of our agreement with you for the provision of the Together Price Service. If part of the Terms of Service cannot be enforced then the remainder of the Terms of Service will still apply to our relationship.
        3. If you do not comply with these Terms of Service and we do not take action immediately, this does not mean we have given up any right we have and we may still take action in the future.

25. Severability

        1. If any provision of these Terms of Service is judged to be illegal or unenforceable, this will not affect the continuation in full force and effect of the remainder of the provisions.

26. Law

        1. English law will apply to all disputes and the interpretation of these Terms of Service. The English courts will have non-exclusive jurisdiction over any dispute arising from or related to your use of the Together Price Service. This does not, however, affect your rights under the law of the country in which you are resident, including (where applicable) your right to have a dispute in relation to your use of the Together Price Service heard in the courts of that country.

27. Contact, feedback and complaints

        1. If you need to contact us in relation to these Terms of Service or any other document mentioned in them, please email us at support@togetherprice.com.
        2. We value hearing from our users, and are always interested in learning about ways we can improve the Together Price Service. By providing your feedback you agree that you are giving up any rights you have in your feedback so that we may use and allow others to use it without any restriction and without any payment to you.
